TERMS AND CONDITIONS OF SALE/USE
|
(A) GENERAL:
(A1) These conditions apply to all sales by Radicom (the ‘Company’) to any
buyer (the ‘Buyer’) unless otherwise agreed in writing by the Company Purchase
orders by the Buyer shall constitute offers to buy and no contract shall exist
until acceptance in writing of the Buyer'’ order by the Company. In the event
of the Buyer’s conditions of purchase containing any clause at variance with
these conditions, these conditions shall prevail.
(A2) Any variation of these conditions shall be effective only if in writing
igned by an authorised official of the Company and these conditions shall
continue to apply except insofar as they are specifically excluded.
(B) QUOTATIONS:
(B1) Quotations expire 30 days after submission unless otherwise stated. Prices
quoted are exclusive of value added tax or any other purchase tax duties,
levies or charges which shall be charged at the rate ruling at the date of
despatch. Prices quoted are based on delivery ex works in one consignment to
one site in the United Kingdom.
(B2) If an order is received after the expiry of a quotation, the quotation may
be adjusted at the time of receipt of the order. The Company reserves the right
to correct clerical errors or omissions. The Company reserves the right to
increase the quoted price to take account of any increase in costs arising as a
result of:
(a) any alteration in or addition to be Buyer’s requirements or
(b) the Buyer’s instructions or lack of instructions or
(c) unsuitable or unprepared sites, inadequate space or access or lack of
services for installing and commissioning the goods. Provided that if the Buyer
requests any alteration or additions to the specification, the Company shall
notify the Buyer of the new price. Within 7 days thereafter, the Buyer may
withdraw his request, but shall remain liable for the Company’s cost of
investigating the effect of the request.
(B3) Costs incurred in tracing sources of noise disturbance or in additional
necessary research will be charged to the Buyer.
(C) DESCRIPTION:
(C1) Descriptions or illustrations of the goods in catalogues,
leaflets or specifications are general descriptions only, not a representation
or warranty by the Company, and shall not form part of the contract and may be
altered without notice.
(D) PAYMENT:
(D1) Unless otherwise agreed in writing, terms of payment shall be pre
paid prior to delivery based on the date of invoice. All invoices shall include
value added tax at the rate then in force and other charges applicable.
(D2) Unless otherwise agreed, orders comprising only items from the standard
product catalogue shall be invoiced for the full price based on the
availability of the goods or completion of installation and commissioning (as
appropriate).
(D3) Orders including non-standard items may be invoiced:
(a) for 30% of the price when the Buyer’s order is accepted
(b) for a further 30% of the price upon notification that the goods are ready
for testing
(c) for the balance due, upon despatch of the goods or completion of
installation and commissioning (as appropriate).
(D4) Where there is no separate maintenance agreement, all chargeable
maintenance including spare parts supplied, shall be invoiced separately.
(D5) If payment is not made in full by the due date the Company shall be
entitled as its discretion to charge interest at the rate of at least one and a
half per cent per month from the due date until payment is received by the
Company.
(D6) In the case event of non-payment on due date by the Buyer then the Company
reserves the right at its absolute discretion to suspend further deliveries or
cease maintenance or service. Such action shall be without prejudice to the
Company’s other rights contained in these conditions.
(E) CARRIAGE:
(E1) The Company shall be entitled to use any method of packaging and
transportation it may select for the despatch of goods. Packaging is
returnable.
(F) GOODS IN TRANSIT:
(F1) The Company shall not be liable for damage or loss of goods in transit or
for shortage on delivery unless notice in writing is given to the carrier
concerned and to the Company within three days of delivery of the goods. In the
case of loss of goods, notice in writing is given to the carrier concerned and
to the Company within 7 days from the date of despatch. The Buyer shall take
such other steps including but not limited, the giving of such shorter notice
to the carrier concerned as may be necessary to preserve a claim against the
carrier.
(G) DELIVERY:
(G1) Any date of delivery or period for delivery given is an estimate only and
the Company shall not be liable for any delay outside of the Company’s
reasonable control. All licences, certificates, relevant information and
documents including specification of frequencies, which may be required for
despatch of use of the goods, are the responsibility of the Buyer.
(G2) The estimated period of delivery is calculated from the date of receipt of
the Company’s letter of confirmation or, if later, of all relevant information
and documents including specification of frequency required from the Buyer.
(G3) Detailed forwarding instructions must be received within 7 days of the
Company’s notifying the Buyer that the goods are ready for despatch or have
passed the tests undertaken pursuant to clause K. If instructions are not
received in due time, the goods will be stored at the Buyer’s expense and risk.
Goods stored shall be deemed delivered for the purpose of clause D and clause H
and invoices issued.
(G4) All transport and other associated costs shall be chargeable to the Buyer.
(H) TITLE:
(H1) The property of the Goods shall remain that of the Company’s until all
invoices have been paid.
(J) WARRANTY:
(J1) The Company warrants that the goods will be free from defects in
workmanship or materials under normal use and service. No liability will be
accepted under this warranty unless the Buyer notifies the Company in writing
of any defect within 12 months from the date of delivery or completion of
installation or commissioning where such installation or commissioning is
carried out by the Company. The Company will, at its option, replace or repair,
free of charge, defective goods or any defective component. The Company’s
obligation will not arise until the Buyer returns the defective goods at its
own expense and risk to the Company’s premises. Any replacement of goods or
components under this warranty shall not extend the period of the warranty.
(J2) This warranty applies only to goods manufactured by the Company. In all
other cases, only the guarantee given by the supplier to the Company shall be
applicable, so far as the Company can pass the benefit thereof to the Buyer.
(J3) The Company will not be liable hereunder if when the allegedly defective
goods are tested or examined by the Company the alleged defects appear to have
been caused by the Buyer’s misuse, neglect, or improper installation. Any cause
beyond the range or intended use of the product, or by accident, fire or other
hazard, or if the goods have been altered or repaired by any person without the
prior written approval of the Company.
(J4) The Company’s liability under this clause shall be in lieu of and exclude
any condition or warranty implied by law as to the quality or fitness for any
particular purpose of the goods.
(J5) The Company will indemnify the Buyer against any personal injury
manifestly resulting from the negligent acts or omissions of the Company or its
agents and make good any direct damage to property to the extent caused by the
negligent acts or omissions of the Company. Its sub-contractors, or agents
whilst on the Buyer’s premises for the purposes of installing or commissioning
the goods but not otherwise.
(J6) Save as aforesaid, the Company shall not be liable to the Buyer for damage
(including loss of use profits or business contracts) or for any loss, damage
or injury of any kind including consequential loss.
(K) TESTING: (K1) Ordinary
testing of all goods is carried out at the Company’s manufacturing premises
prior to despatch and may at the convenience of the Company, be witnessed by
the Buyer where mutually agreed. For substantial orders only, the Company will
accept a reasonable request from the Buyer for further tests to be carried our
provided sufficient details of tests required are given and approved by the
Company. If the Buyer fails to attend within 7 days of the date agreed for such
tests, the Company shall carry out the tests in the Buyer’s absence and such
tests shall be deemed fully valid and binding upon the Buyer.
(L) INSTALLATION AND COMMISSIONING:
Installation and commissioning of goods will be carried out by the Company, its
distributors, or agents at the Buyer’s expense unless otherwise agreed.
(M) CANCELLATION:
(M1) Order’s for items from the standard product catalogue only may be
cancelled, for any reason, prior to the date of despatch subject to a
cancellation fee of 10% of the contract price. PLUS the cost of materials
ordered, work effected, at the date of cancellation and value added tax at the
rate then in force. Except that, in the event that goods are manufactured or
near completion at the time of cancellation then the full quoted price of the
goods will be charged to the Buyer.
(M2) Orders for, or including non-standard products may not be cancelled.
(N) FORCE MAJEURE: (N1) The Company shall not
be liable for non-performance or delay in performance or for any loss or damage
to the goods due to act of God, war, riot, embargo, strike, labour dispute,
commotion, fire, shortage of labour or materials, confiscation, delays in
delivery or services of sub-contractors or sub-suppliers, prohibition of import
or any other unforeseen event (whether or not similar in nature to those
specified) outside of the Company’s reasonable control.
(P) ASSIGNMENT:
(P1)The Buyer may not assign all or any of its rights, title or interest under
these conditions or transfer any of its obligations without the Company’s prior
written consent and any assignment or transfer made by the Buyer without such
consent shall be void and of no effect.
(Q) DEFAULT:
(Q1) If the Buyer shall make default in or commit a breach of these conditions
or of any of its obligations to the Company, or if any distress or execution be
levied upon the Buyer’s property or assets, or if the Buyer shall make or offer
to make any arrangement or composition with its creditors or commit any act of
bankruptcy, or if any petition or receiving order in bankruptcy be presented or
made against it, or if the Buyer shall be a limited company and any resolution
or petition to wind up such company’s business (other than for the purpose of
amalgamation or re-organisation) shall be passed or presented, or if a receiver
of such a company’s undertaking property or assets or any part thereof shall be
appointed, the Company shall have the right forthwith to terminate any contract
subsisting with the Buyer and upon written notice of such termination being
given by the Company to the Buyer’s last known address such subsisting contract
shall be deemed to have terminated without prejudice to any claim or right
which the Company may make or exercise.
(R) NOTICES:
(R1) Any notice required or permitted to be given hereunder shall be
in writing and shall be sufficiently given if delivered personally or sent by
recorded delivery post or faxed to the registered office of the other party or
to such other address as either party may from time to time designate to the
other in writing. Such notice shall be deemed to be given as at the date it was
personally delivered or the fax was sent or 48 hours after it had been
deposited in the post as the case may be.
(S) ORIGIN:
No Guarantee is given as to origin of Goods.
(T) INTELLECTUAL PROPERTY RIGHTS:
(T1) Patents, trademarks, trade names, copyrights and designs in relation to
the Goods or any of them and any literature supplied by the Company in
connection therewith shall remain the property of the Company and the Buyer
shall not claim any right or property therein.
(T2) In the event that a claim is made against the Buyer by a third party
alleging that the Buyer’s use of Goods infringes third party’s patent(s), then
the Company shall assist Buyer in the defence of such claim by furnishing
technical consultation and the services of qualified engineers in reasonable
amounts at the Company’s own expense.
(T3) The foregoing states the entire liability of the Company for infringements
of third party’s patent(s).
(U) GENERAL:
(U1) These conditions constitute the entire agreement between the parties and
supersede all prior agreements and understandings between them.
(U2) A waiver of any breach or provision must be in writing to be effective and
a waiver of any breach of any provision shall not constitute a waiver of any
subsequent breach of the same or any other provision.
(U3) The buyer shall not be entitled to withhold payment of any amount payable
by reason of any disputed claim nor to set off against any amount payable under
a contract subject to these conditions, any amount which is not then due and
payable by the Company or for which the Company disputes liability.
(U4) A contract subject to these conditions shall be governed by the Law of
England and subject to the jurisdiction of the English Courts.
(U5) The provisions of these conditions are severable and if any one or more
such provisions are judicially determined to be unenforceable in whole or in
part, the remaining provisions shall nevertheless be binding on and enforceable
by the parties.
(U6) The Company shall not comply with any law, regulation or requirement,
which would subject the Company or parties which directly or indirectly own
shares in the Company to criminal or civil penalties or loss of tax benefits
under applicable law. The furnishing of any quotation or acknowledgement of any
order from the Buyer does not constitute the furnishing of or an agreement to
furnish any information which would subject the Company or parties which
directly or indirectly own shares in the Company to any of the above-mentioned
penalties or loss of tax benefits.
(W) INTERFERENCE:
The Company will not accept liability for interference with or from other radio
transmissions or noise disturbance due to use of the goods including but not
necessarily restricted to the vehicle, unit or premises housing the goods. If
requested to investigate interference or faults on land lines hired from
others, the Company shall charge for the service at its current rate.
(X) LIABILITY:
Except in respect of personal injury, the total liability of the Company and
any of its suppliers or sub-contractors, for any and all claims arising out of
or connected with the performance or non-performance of any obligation under
this Contract, shall not exceed the sum of Five Thousand UK Pounds (£5,000). In
no event, whether as a result of breach of contract, warranty, alleged
negligence or otherwise shall the Company have any liability for consequential,
indirect or incidental damages, such as but not limited to loss of profit or
revenue.
(Y) RADIO COVERAGE:
Any indication of the level and/or range of radio coverage given in this tender
is made on the basis of information available to the Company at the time of
tendering. Whilst every reasonable effort will be made to provide the required
coverage, the Company does not guarantee a level and/or range of coverage from
any fixed, radio or personal unit.

Purchase Of Goods ( Order)

All orders are subject to acceptance and availability. If the goods or services

Pay monthly / Contracts

All applications for a pay monthly products "contract" are subject to a
credit check. If you place an order with Wakeworth Associates, you agree to us
to carrying out the necessary credit checks which we do on behalf of the
networks. RadicomShop may check that you hold a minimum of GBP59.00 funding
on the debit/credit card given to us at the time of order. Although we may not
necessarily take this money, your bank may reduce your available credit by this
amount for a few days.

Proofs of identification and residence may be required in some cases to
complete your credit check.
-
The mobile phone network may in some cases ask for a deposit to be paid by the
applicant before a connection can be made.
-
The network may also decline your application in certain instances. If either
of these occurs we will contact you and advise you of the situation.
Radicomshop.co.uk cannot be held responsible for the result of any credit
assessments or for any delays caused by insufficient or incorrect information
being supplied by the applicant.

All contract sim cards need to be paired with a handset in order to complete a
successful connection. Where you have placed an order for an offer with a
contract sim card only, the handsets paired with the sim card for connection
purposes, will remain the property of Radicomshop.co.uk. The cash back supplied
with the deal acts as remuneration for the handset. The cash back can be
claimed in accordance to the ?Cash Back and Free Gifts? section.

If an offer mentions a tariff downgrade to result in a line rental reduction,
the tariff mentioned is a suggestion only. Therefore Radicomshop.co.uk does not
accept responsibility for removal or unavailability of the tariff.

A ?5.99 processing charge is payable by you, once your goods have been
dispatched. This applies to all orders that are successfully part or fully
completed i.e. if an order is placed for two items and only one is dispatched,
then the Processing charge will still apply.

Airtime Contract?s are offered on the basis that the tariff, value added
service and/or associated packages, are not changed through out the contract
period. This applies to all networks unless specified in the offer purchased.
All offers that indicate change/removal of a tariff or value added service, the
change/removal should take place no sooner than 180 days from the date of
connection. If the tariff is changed within the contract period or within the
180 days where applicable, Radicomshop.co.uk reserves the right to charge you
the full sim free RRP (Recommended Retail Price) of the handset provided at the
time of purchase. Please also refer to the section relating to Cashback and
Free Gifts, as these will be affected.

All "pay monthly" products purchased via this Website or over the phone are
subject to a 12 or 18-months airtime contract.
9. Terms and Condition for Cash Back and or Free Gifts
-
Cash back is only available on specified offers. Please check individual offer
descriptions for details. Consumers will pay the full price of the line rental
and receive payments into their account for the value of the cash back which is
a subsidy towards the line rental. On selected offers a free gift may also be
included. The offer description will provide full details on the free gift. If
applicable, the redemption vouchers/forms for the cash back and/or free gift
will be enclosed in your package and dispatched to you

Cashback claims will be via redemption vouchers and or forms. Unless
otherwise stated in the ?Tariff Details? on the web, You will receive three
redemption vouchers/forms with your package. For twelve month contracts, your
cash back claim will be paid in three equal amounts after month six, nine and
twelve months from the date of connection. For eighteen month contracts
your cash back claim will be paid in three equal amounts after month six,
twelve and eighteen from date of connection.

How to Qualify: In order to
qualify for our Cash back offer you must:
i.
Have purchased an eligible contract offer from
Radicomshop. If you have received a redemption voucher/form you have
purchased an eligible offer. (If you do not receive your vouchers/form, then
you must notify Radicomshop within 7 days of the date of connection as
duplicate vouchers/forms will not be issued at a later stage).
ii.
Have received and paid your monthly
contract bills.
iii.
Provided Radicomshop with the necessary
completed paperwork as specified in the requirements clause below.
iv.
Submit your claim within 30 days from
the claim date specified on each voucher/form.
v.
Ensure that the product number which is on the
bill submitted with your application matches with the product number on
the redemption voucher/form (with exception of porting from other networks
only)

You will not qualify for our cash back offer
if:
i.
The redemption voucher/form is not
submitted with the relevant claims.
ii.
You disconnect your handset (for whatever
reason) from the network within the full contract period.
iii.
You have changed the tariff or any value added
services supplied with our offers within the contract period, unless specified
in the offer
iv.
The redemption claim is not received within 30
days from the claim date. Any late claims will not be valid.
v.
You cannot provide to Radicomshop.co.uk all of
the paperwork specified in the requirements clause.
vi.
You send invalid or wrong copies of any of the
paperwork specified in the requirements clause.
vii.
At anytime during the contract your airtime
service has been disconnected due to non-payment of bills or if there are any
arrears on your account.
viii.
At the point of connection, we have not
received full payment for the goods purchased.
ix.
If there has been a change of ownership to the
offer supplied by Radicomshop.
x.
You do not satisfy any of the conditions in the
?how to qualify? section.
xi.
You migrate a mobile number within the same
service provider.

How to apply:(Requirement clause)
Requirements that need to be received by Radicomshop.co.uk:
i.
The original redemption voucher/form.
ii.
The whole bill in its entirety as sent
to you by the service provider (original bill for each month) from the date of
connection, with the last bill dated on or after the claim date as seen
on the redemption voucher/form.
iii.
If you have successfully claimed using a
redemption voucher/form, and are claiming for another, then you will be
required to send Radicomshop the remaining original bills with the last bill
dated on or after the claim date (as specified on the redemption voucher
that is being claimed for). These must be the bills in their entirety as sent to
you by the service provider.
iv.
If you have not been successful in claiming a
voucher/form, you are still entitled to redeem the subsequent claim provided we
receive the relevant voucher/form and documentation within the claimable
period. In this case we need to receive all bills for the contract, including
bills for the forfeited period(s). The claim for the forfeited period
will not be claimable.
v.
Proofs from the service provider of ported
mobile numbers. This must be a confirmation from the service provider
receiving the ported mobile number.
vi.

General:
i.
All applications will be verified and
Radicomshop reserves the right to refuse to accept applications at its sole
discretion.
ii.
Radicomshop accepts no tax liability incurred
by an individual or business relating to this offer.
iii.
Please ensure that the correct documents are
sent to us, as Radicomshop reserves the right to void incorrect claims. This
applies to early claims (claims that are sent in prior to the claim date) and
claims that fall beyond their claimable period.
iv.
All our offers are dependant on the specific
tariff, value added services and/or associated packages. If any of these are
changed before the specified period then your claim will be unsuccessful and a
price purchase variance of ?350 will be charged. This will automatically be
debited from your card details supplied at the time of connection. If cash back
has been claimed and any of the above subsequently changed, the amount paid in
cash back will be reclaimed by Radicomshop. Radicomshop will initiate legal

back without prior notice. Instructions issued and notified to you by

network. These must be received by Radicomshop within 45 days from the

10. Returning Contract and Prepay handsets

If for any reason you wish to return your contract handset within the network?s
allowed disconnection period, it is essential that you contact our Customer
Service Team on 01628 638082 immediately.

On occasions a contract handset return may be requested by Radicomshop.co.uk.
In rare instances networks can change their mind regarding a credit decision
when further information is revealed after the dispatch of the goods. We
reserve the right to request that the goods be returned to us for a full refund
of any monies paid plus reasonable postage/carriage costs. In the event that
these goods are not returned or returned in a less than pristine condition we
reserve the right to charge the customer the cost of the goods supplied.

11.
Payments

You can make Payment by any major credit or debit card Visa, Discover Card,
Dinner Club, Switch, Solo, MasterCard and American Express. If you do wish to
pay by Personal Cheque or Postal Order please contact our Online Customer
Service team. Payment will be debited and cleared from your account before the
dispatch of your Goods or provision of the Service to you. You confirm that the
credit/debit card that is being used is yours.

All credit/debit cardholders are subject to validation checks and authorisation
by the Card issuer and we may share your personal information with such third
parties as are necessary to enable us to do such checks. If the issuer of your
payment card refuses to authorise payment to us, we will not be liable for any
delay or non-delivery.

Please be advised that in some instances Radicomshop.co.uk may require
customers to fax proof of identity i.e. either driving License or utility bill
and a bank statement of the credit card you are paying with along with a copy
of your credit card. The co-operation of our customers is appreciated, as this
will help us reduce fraudulent orders.
12.
Delivery

The cut off time for next day delivery is 2:00 PM. The last order day for next
day delivery service is Friday. Orders placed on weekends will be delivered on
Tuesday. If you require urgent next day delivery at weekends, call the
sales team to quote you on a special weekend next day delivery service charge.

If you are not at home when we deliver a non- delivery card will be posted
through your letterbox, which advises that we tried to deliver. You will then
be required to call the number on the card to arrange alternative date of
delivery.

Please note that due to security reasons we cannot deliver products to any
other addresses only the address where the Credit / Debit card is registered.

If for whatever reasons we are unable to fulfill the agreement to supply you
with your goods will offer a refund on your debit/ credit or suggest an
alternative product.

If your goods fail to arrive within 28 days of dispatch, you will have the
option of either a full refund or a replacement shipment.

Where an incorrect address has been given to Radicomshop.co.uk with the order
we reserve the right to charge for any extra carriage costs incurred.
13.
Product Warranty

All products come with a 12-month manufacturer's warranty unless otherwise
stated. This warranty does not affect your statutory rights, which cannot be
excluded or restricted at law.

Cancellations and Returns

If you wish to cancel an order prior to receipt of the goods, you must do so by
informing us in writing within 48hrs of placing the order. You can do so by

In the event that the goods are in transit when the cancellation is requested,
you must not accept the delivery of the goods. Request for cancellation must
still be in writing.

If you have received the goods, you must return all items for cancellations
within seven days of receipt. Please call and request a RMA number for the
return.

If you are requesting a cancellation of an order that included free accessories
and gifts, these must also be returned. If they are not returned,
Radicomshop.co.uk reserves the right to charge the RRP (Recommended Retail
Price) applicable at the time of purchase for the items, prior to cancellation.
If Radicomshop.co.uk is not successful in retrieving the costs, the
cancellation will not be processed.

It is the customer's responsibility for the safe returns of all goods. All
items must be returned as they were received with the original packaging and
full contents included, along with documentation and proof of purchase. Items
returned in a less than pristine condition or damaged or missing packaging will
incur charges to cover the cost of the items. Radicomshop.co.uk will pursue
these charges. You, the consumer, are responsible for all dispatch costs for
returning items, unless the handset is faulty.

If an item is not in the same condition as when supplied, Radicomshop.co.uk
reserves the right to refuse cancellation, or apply an additional charge to
compensate.

If Radicomshop.co.uk has refused cancellation, return of the item to the
consumer will be at their own cost.

All items returned must be sent with the original receipt issued by
Radicomshop.co.uk

If a refund is due please allow 28 days from cancellation for funds to be
credited. Funds will be credited to the credit/debit card used at the time that
the order was placed.

£35.00 handling is applicable to all cancellations. Any cost of returning an
item will not be considered as part of the handling charge.

Faulty or Damaged Goods

If your goods arrive faulty or damaged, or a fault occurs in the first 7 days
after Delivery, we will either provide a full refund or dispatch new goods as
soon as possible after the faulty goods have been returned.

When Returning Goods please fill in the Returns Form which can be found
within our Customer Care Policy at the bottom of our website. Please print the
form and send it with the goods and with the original receipt.

Faulty equipment will be exchanged during the first 7 days. All products
are covered for the remainder of the initial 12-month period by the
manufacture's warranty.

If the goods are not faulty you have 7 working days from the day after the
goods arrive to cancel the order and return the goods for a refund and contact
our online Customer Service team regarding the refund. A refund will be
provided within 30 days. (See conditions for cancellations and returns above.)

Where a refund is required for non-faulty items we reserve the right to charge
the initial cost of the delivery.

Refunds cannot be given if we judge that the product has been willfully
damaged, neglected, overloaded, modified, adapted or repaired.

If any goods returned are not faulty then a restocking fee of 25% will apply.

For all customers in the UK and other European Union countries - VAT is charged

Pricing

If an order is placed for an item with an incorrect price, and the incorrect
price is less than the cost price of the item, we reserve the right to offer to
